Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tradulio platform operated by Tradulio ("we," "us," or "Tradulio") at tradulio.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms, as well as the Terms of Service of Charladdy Interactive LLC, the company that owns Tradulio. If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including Restaurant Admins and end Customers.

1. Description of Service

Tradulio is a business-to-business SaaS platform that enables restaurants to create multilingual digital menus accessible via QR code or URL. Subscribers can upload menu content, have it translated into supported languages, and allow their customers to browse menus and generate order summaries in their preferred language.

2. Accounts and Eligibility

2.1 Restaurant Admin Accounts

To subscribe to Tradulio, you must:

• Be a legal entity or individual of legal age to enter a binding contract
• Provide accurate and complete registration information, including a valid taxpayer identification number
• Maintain the security of your account credentials

You are responsible for all activity that occurs under your account.

2.2 Customer Access

Customers do not create accounts. Access to restaurant menus via QR code or URL is provided as a public-facing service on behalf of subscribing restaurants. Customers agree to use the Service only for its intended purpose of browsing menus and generating order summaries.

3. Subscriptions and Payment

3.1 Subscription Tiers

Tradulio offers three subscription tiers with the following pricing and feature limits:

• Basic: $15/month — 1 restaurant, 2 menus, 3 languages, 5 sections per menu, 100 items, 5 FAQs, 5 image uploads
• Pro: $25/month — 5 restaurants, 15 menus, 6 languages, 12 sections per menu, 150 items, 12 FAQs, 25 image uploads
• Pro Plus: $45/month — 20 restaurants, 100 menus, 20 languages, 20 sections per menu, 250 items, 20 FAQs, 125 image uploads

Feature limits are enforced at the platform level. Exceeding a tier's translation or item limits may result in restricted access to those features until the billing period renews or the account is upgraded.

3.2 Billing

Subscriptions are billed monthly. Payment is processed by Stripe. By subscribing, you authorize Tradulio to charge your payment method on a recurring basis. All fees are stated in USD and are non-refundable except as required by applicable law.

3.3 Changes to Pricing

Tradulio reserves the right to modify subscription pricing with at least 30 days' advance notice to current subscribers. Continued use of the Service after the effective date of a price change constitutes acceptance.

4. Acceptable Use

4.1 Permitted Use

You may use the Service only for its intended purpose: creating and publishing multilingual restaurant menus for your customers.

4.2 Prohibited Conduct

You agree not to:

• Upload content that is unlawful, defamatory, fraudulent, or that infringes third-party intellectual property rights
• Use the Service to publish menus on behalf of restaurants you do not own or operate without authorization
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use automated tools to scrape, index, or harvest data from the Service without our written consent
• Attempt to circumvent subscription limits or access features not included in your tier
• Interfere with or disrupt the integrity or performance of the Service

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all menu content, images, and other materials you upload to the Service ("Your Content"). By uploading Your Content, you grant Tradulio a non-exclusive, worldwide, royalty-free license to store, process, display, and translate Your Content as necessary to operate the Service.

5.2 AI-Generated Translations

Tradulio uses AI-assisted tools to extract and translate menu content. AI-generated content may contain errors or inaccuracies. You are solely responsible for reviewing and approving all AI-generated translations before publishing them to customers. Tradulio does not warrant the accuracy of any AI-generated content.

5.3 Tradulio's Intellectual Property

All software, design, trademarks, and other materials comprising the Service (excluding Your Content) are owned by or licensed to Tradulio. These Terms do not grant you any right to use the Tradulio name, logo, or other brand elements without our prior written consent.

6. Translation Services

In addition to AI-assisted translation, Tradulio may facilitate professional human translation services through third-party vendors. Pricing for professional translation services is set by the vendor and may include a markup. You will be informed of applicable fees before ordering such services. Professional translations are subject to the terms and quality standards of the relevant third-party provider.

7. QR Codes and Public Menu Access

Upon publishing a menu, Tradulio generates a publicly accessible URL and QR code. You are responsible for ensuring that your published menu content is accurate, lawful, and appropriate for public display. You acknowledge that any person with access to the QR code or URL can view the associated menu.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TRADULIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

IN PARTICULAR, TRADULIO MAKES NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PURPOSE OF AI-GENERATED TRANSLATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADULIO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TRADULIO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID TO TRADULIO IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tradulio and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate the subscription at any time. Upon termination:

• Your access to the Service will cease at the end of the current billing period
• Public-facing menu slugs associated with your account will be deactivated
• We will retain your data for a reasonable period before deletion in accordance with our Privacy Policy

Tradulio reserves the right to suspend or terminate accounts that violate these Terms, with or without prior notice, at its sole discretion.

12. Modifications to the Service and Terms

Tradulio reserves the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes to these Terms. Continued use of the Service following such notice constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts of the State of Texas.

14. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tradulio regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. Tradulio may assign its rights without restriction.
